Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Backlink Hut website at backlinkhut.com, our subdomains, and all professional services delivered by Backlink Hut Co., Ltd. ("Backlink Hut", "we", "our", "us"). By using the site, engaging us for any service, or accepting a quote we send, you agree to these Terms.

Effective date: 2026-05-21. These Terms supersede all prior versions.

Backlink Hut is a Thai-led digital marketing agency headquartered at 49/41 Phatthaya Tai 12 Alley, Pattaya City, Bang Lamung District, Chon Buri 20150, Thailand. For any matter relating to these Terms, contact us at service@backlinkhut.com or +66 87 773 7715 (Mon–Fri, 09:00–18:00 ICT).

• You must be at least 18 years old, or the legal age of majority in your jurisdiction, to engage our services.
• If you accept these Terms on behalf of a company, you represent that you have authority to bind that company.
• These Terms apply alongside any signed proposal, statement of work, or quotation we issue. Where a signed document conflicts with these Terms, the signed document controls for the specific engagement it covers.

We deliver search engine optimization, backlink building, Google Ads management, WordPress and e-commerce development, content writing, WhatsApp and LINE marketing automation, social media account management, and related digital marketing services. The exact scope of any engagement is set out in the proposal or order confirmation we send you.

• Monthly retainers are billed in advance on the first business day of each calendar month. Project work is billed per the milestone schedule in the proposal.
• All prices are quoted in Thai Baht (THB). Where we quote in USD or EUR for international clients, the converted Baht amount on the invoice date is the binding amount.
• Payment is due within seven (7) days of invoice. Late payment may result in suspension of work until the account is brought current.
• We do not store credit-card data on our systems. Payments are processed by licensed Thai payment providers (PromptPay, Omise, Stripe or equivalent) under their respective terms.

We guarantee defined deliverables and process. We do not guarantee specific search engine rankings, traffic volumes, conversion rates, or revenue outcomes.

Search engine algorithms, ad-platform policies, and consumer behaviour change constantly and are outside any agency's control. Any forecast we provide is a good-faith estimate based on current conditions, not a contractual commitment. We will name a realistic timeline up-front for each engagement; we do not promise outcomes we cannot control.

• All pre-existing intellectual property remains with its original owner. Our methods, templates, internal tools, and proprietary processes remain our property at all times.
• Content, designs, code, and other work products created specifically for you become your property on full payment of the relevant invoice.
• We retain a non-exclusive licence to reference our completed work — with your business name anonymized unless you grant explicit written permission to use it — in our portfolio, case studies, and marketing.
• You grant us a limited licence to use your name, logo, and brand assets solely to deliver the services you have engaged us for.

Each party agrees to keep the other party's non-public information confidential during the engagement and for two (2) years after it ends. Confidential information does not include information that is or becomes publicly known through no fault of the receiving party, was already known before disclosure, or is independently developed without reference to the disclosing party's information.

• Provide accurate, complete, and timely information necessary to deliver the services.
• Do not ask us to perform work that violates Google's, Meta's, LINE's, or any other platform's policies (for example, paid-link schemes, fake-review generation, copyright-infringing content, cloaking). We will refuse such requests and may terminate the engagement if compliance becomes impossible.
• Do not use our work products to defame, harass, mislead, or otherwise harm third parties.
• Comply with all applicable laws including Thailand's Consumer Protection Act, the Computer Crimes Act, and intellectual property law.

To the maximum extent permitted by Thai law, our total aggregate liability to you arising out of or relating to any engagement — whether in contract, tort, statute, or otherwise — is limited to the fees you have paid us under that specific engagement during the three (3) months immediately preceding the event giving rise to the claim. We are not liable for any indirect, consequential, incidental, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity, even if we have been advised of the possibility of such damages. Nothing in these Terms limits liability for fraud or any liability that cannot be limited by law.

You agree to indemnify and hold Backlink Hut harmless from any claim, loss, damage, or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) content or materials you supply to us, (c) your use of the work products in a manner not authorised by us or by law.

• Either party may terminate any monthly retainer with seven (7) days' written notice via email or WhatsApp.
• Either party may terminate immediately on written notice if the other party materially breaches these Terms and fails to remedy that breach within fourteen (14) days of being notified in writing.
• On termination: outstanding invoices remain due, you pay for work completed and work-in-progress up to the termination date, and Sections 6 (IP), 7 (Confidentiality), 9 (Liability), 10 (Indemnification), and 14 (Governing law) survive.

Neither party is liable for failure or delay caused by events outside its reasonable control — natural disasters, pandemics, war, civil unrest, government action, internet or utility outages, or third-party platform failures. The affected party shall notify the other promptly and resume performance as soon as reasonably practicable.

We may revise these Terms by posting an updated version on this page. Material changes will be highlighted by updating the Effective date above and, for active retainer clients, notified by email at least thirty (30) days before they take effect. Continued use of the services after the effective date constitutes acceptance.

These Terms are governed by the laws of the Kingdom of Thailand. The parties agree to attempt good-faith negotiation for at least thirty (30) days before commencing formal proceedings. Any dispute not resolved through negotiation shall be brought exclusively before the competent courts of Chon Buri Province, Thailand.

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect and the unenforceable provision shall be replaced by an enforceable provision that comes closest to the parties' original intent. These Terms, together with any signed proposal or order confirmation, constitute the entire agreement between the parties on this subject and supersede all prior written or oral communications.
